Terms of Service

Before you use Koatask.ai, please read these terms of service ("Terms"). They govern your access to and use of the Koatask.ai website, web application, AI workspace, APIs, tools, content and documentation (together, the "Service") provided by Koatask ("Koatask", "we", "us" or "our"). These Terms are a legally binding agreement between you and us.
1. Acceptance of These Terms
1.1. Agreement. Please read these Terms together with our Privacy Policy and any terms shown to you at checkout. By creating an account, or by accessing or using the Service, you agree to the current version of these Terms. If you do not agree, you must not use the Service.
1.2. Using the Service for a business. If you use the Service on behalf of a business or other organization, "you" includes both you and that organization, and you confirm that you are authorized to accept these Terms on its behalf. The organization is responsible for the use of the account, including by its employees and contractors.
1.3. Eligibility. You must be at least 18 years old, or the age of majority where you live if that is higher, and legally able to enter into a binding contract. By using the Service, you confirm that:
- you have not previously been suspended or removed from the Service;
- you are not subject to sanctions, and you are not listed on, or owned or controlled by anyone listed on, a sanctions list maintained by a government or regulatory authority; and
- your use of the Service complies with the laws that apply to you.
2. Account Registration and Security
2.1. Registration. You need an account to use most of the Service. You can register with an email address and password, which you may be asked to confirm through a link sent to your email address, or by signing in with Google. If Google suspends your Google account or our connection to it, your access to the Service may be interrupted; your relationship with Google is governed by your agreement with them. You must provide accurate information and keep it up to date.
2.2. Account security. Your account is for your own use. You agree to:
- choose a secure password and keep your sign-in details confidential;
- not share your credentials, or let anyone else access, borrow, rent, buy or use your account;
- tell us immediately at support@koatask.ai if you believe your account has been accessed without your permission or your credentials have been compromised; and
- take responsibility for activity carried out through your account, except where it results from our own failure to protect the Service.
2.3. Restriction and suspension. We may restrict, suspend or terminate your account or access to all or part of the Service where required by law, where we reasonably believe you have breached or are likely to breach these Terms, to prevent fraud, abuse or security risks, where you try to get around plan limits, credit accounting or other controls, or for non-payment. Where reasonably possible, we will tell you first and give you a chance to resolve the issue.
3. The Service
3.1. What Koatask does. Koatask.ai is an AI workspace for e-commerce work. In Studio, you describe what you need in natural language, can upload product images and other supported files, and receive work such as written copy, images, videos and other content.
3.2. Koa, Staff and Teams. Koa, the AI Team Lead, interprets your requests and coordinates the AI specialists ("Staff") and departments ("Teams") available in your workspace. Koa, Staff and Teams are AI systems, not human employees.
3.3. How work is delivered. AI work runs in the background and may take some time to complete. Results can be saved and managed as Documents. The features, models, Staff and Teams available to you depend on your plan and on what is enabled in the Service at the time.
4. Use of AI and Outputs
4.1. Inputs and Outputs. You can submit prompts, messages, files, images and other material to the Service ("Inputs"). Content generated for you based on your Inputs is called "Outputs". Inputs and Outputs together are "User Content".
4.2. Nature of AI. You acknowledge that you are working with AI systems. AI models work on probabilities and may produce Outputs that are inaccurate, incomplete, outdated, biased, inconsistent with your instructions, or similar to content generated for others. Outputs may contain errors in product details, prices, claims, measurements, translations or other information.
4.3. Your responsibility. You agree that:
- you are responsible for reviewing, editing and verifying Outputs before you rely on, use or publish them;
- your use of Outputs must comply with applicable laws, advertising and consumer protection rules, marketplace and platform policies, and the rights of others, including intellectual property and publicity rights;
- Outputs are not legal, financial, tax, medical or other professional advice, and must not be used as the only basis for such decisions; and
- Outputs are not guaranteed to be unique, and similar Outputs may be generated for other users.
5. Prohibited Uses
5.1. Prohibited content. You must not submit, generate or share User Content that:
- is illegal, or promotes or facilitates illegal activity;
- infringes intellectual property, privacy, publicity or other rights;
- sexualizes minors or depicts child sexual abuse in any form;
- is sexually explicit, or is non-consensual intimate imagery;
- impersonates or depicts a real person in a misleading way without their consent;
- is defamatory, hateful, harassing or threatening, or promotes discrimination, violence, terrorism, suicide or self-harm;
- is deceptive or fraudulent, including fake reviews, false product claims or misleading advertising;
- contains malware or is designed to damage, disrupt or gain unauthorized access to systems or data; or
- includes other people's personal information without a lawful basis.
5.2. Prohibited conduct. You must not, and must not help anyone else to:
- use the Service to make decisions that significantly affect a person, such as decisions about credit, employment, housing, insurance, education, legal or medical matters;
- try to make Koa or Staff ignore their instructions or safeguards, including through jailbreaks or prompt injection, or try to obtain system instructions, credentials or other users' data;
- probe, scan or test the security of the Service, or get around its authentication or security measures;
- circumvent or manipulate plan limits, rate limits, AI Credit accounting or other controls, avoid fees, or create multiple accounts to obtain additional Free trials;
- copy, modify, reverse engineer, decompile or create derivative works of the Service's software, except where the law allows this;
- scrape or extract data or Outputs from the Service using automated means other than features we provide, or place an unreasonable load on it;
- use the Service or Outputs to build or train a product or AI model that competes with the Service;
- resell, sublicense or provide the Service to others as your own service without our written permission; or
- use the Service in a way that violates the usage policies of the AI providers or other third-party services involved.
5.3. Enforcement. We do not review all User Content, but we may use automated or manual checks, and we may refuse, remove or block content, stop AI work, or restrict accounts where we reasonably believe these Terms or the law are being violated. If you believe your account was restricted by mistake, contact us at support@koatask.ai.
6. User Content
6.1. Ownership. You keep ownership of your Inputs. As between you and us, we do not claim ownership of your Outputs, subject to these Terms and the terms of the AI providers involved. Intellectual property protection for AI-generated content may be limited depending on applicable law.
6.2. Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display User Content only as needed to provide, maintain and secure the Service and to comply with law. This includes sending User Content to the AI providers needed to perform the work you request. We do not use your User Content to train our own AI models.
6.3. Your rights to Inputs. You confirm that you own or have all rights, licences and permissions needed to submit your Inputs and to have them processed as described in these Terms, including permission from people who appear in images and from owners of trademarks, logos, product images and other material you upload, and that doing so does not violate any law or anyone else's rights.
6.4. Sensitive information. Please do not include sensitive personal information, such as health or financial data, or personal information about other people in your User Content unless it is necessary for your task and you have the right to share it.
6.5. Keep your own copies. Uploads are limited to supported file types and to the size and file-count limits of your plan. We work to keep your content available, but content may be lost or become unavailable, for example after an incident or when a file fails our checks. Please keep your own copies of anything important.
7. Plans, Payments and Taxes
7.1. Plans and prices. Koatask.ai currently offers the Free, Starter, Growth, and Scale plans. Current prices, included AI Credits and plan limits are shown on our Pricing page, and the price that applies to your purchase is shown at checkout. Prices are in US dollars. Applicable taxes are added at checkout, and you are responsible for paying them.
7.2. Free plan. New accounts on the Free plan receive 100 one-time AI Credits and 24 hours of access after onboarding. The Free trial ends when that access period is over or when the trial credits are used up, whichever happens first. Free trial credits are granted once and do not renew. After the trial ends, new AI work is unavailable until you subscribe. Some features, such as video generation, are not included in the Free plan.
7.3. Subscriptions. The Starter, Growth, and Scale plans are subscriptions billed monthly or yearly in advance.
- Subscriptions renew automatically at the end of each billing period until cancelled. By subscribing, you authorize us and our payment provider to charge the subscription fee and applicable taxes for each renewal.
- You can cancel at any time from the Billing page using Manage billing. Cancellation takes effect at the end of the current billing period, and your paid access continues until then. After that, your account returns to the Free plan.
- If a renewal payment fails or is reversed, paid access may be paused until the payment is completed.
- Changing plans during a billing period does not by itself add AI Credits. The new plan's credit allowance applies from the next credit period, unless we tell you otherwise when you make the change.
7.4. Payment processing. Payments are processed by our payment provider, Polar, through its hosted checkout. Koatask does not receive or store your full payment card details. Polar may act as the merchant of record for your purchase, in which case Polar's terms of sale also apply. You confirm that you are authorized to use the payment method you provide. You can manage your subscription and billing details from Manage billing on the Billing page.
7.5. Price changes. We may change plan prices or plan contents. Price changes apply from your next billing period after we notify you at least 14 days in advance. If you do not agree, you can cancel before the change takes effect.
8. AI Credits and Credit Packs
8.1. What AI Credits are. AI Credits are the units used to measure and pay for AI work in Koatask.ai. AI Credits can only be used within the Service. They are not money, have no cash value and cannot be transferred, sold or exchanged for cash, except where applicable law requires otherwise.
8.2. Subscription credits. Each paid plan includes a monthly allowance of subscription credits:
- Starter: 1,000 AI Credits per month.
- Growth: 3,000 AI Credits per month.
- Scale: 6,000 AI Credits per month.
- Monthly subscriptions receive the allowance at the start of each paid billing period.
- Yearly subscriptions receive the monthly allowance once per month during the paid year. The full year's credits are not granted at once.
- Subscription credits reset when the next credit period begins: unused subscription credits expire and are replaced by the new allowance. They do not roll over or accumulate.
- If your subscription ends or is not renewed, any remaining subscription credits expire at the end of the current credit period, or earlier if the subscription ends earlier.
8.3. Credit Packs.
- Credit Packs are one-time purchases of additional AI Credits. They are not subscriptions, they do not renew, and they do not change your plan or billing date.
- Credit Packs can only be purchased while you have an active paid subscription (Starter, Growth, and Scale). Available packs, their prices and their credit amounts are shown on the Billing page.
- Credit Pack credits are kept separately from subscription credits. They do not reset or expire when subscription credits reset, when your subscription renews, or when it is cancelled or ends.
- Credit Pack credits remain on your account if your paid plan ends, but you can only use them for AI work while your plan (or an active Free trial) allows AI work.
8.4. Order of use. When AI work is charged, subscription credits are used first. Other credits, including Credit Pack credits and any remaining Free trial credits, are used after that. Your current balance is shown on the Billing page.
9. Credit Usage, Limits and Availability
9.1. How credits are charged. AI work consumes AI Credits based on the actual cost of the work as reported by the AI provider, converted into AI Credits. Usage varies with the task, the model, the output type, resolution or length, the number of outputs and any reference files. Any estimate shown before or during a task is not a guarantee of the final charge.
- Before AI work starts, we may place a temporary hold on part of your balance for the expected cost. The final charge is based on reported usage, and any unused part of the hold is released.
- AI Credits may be consumed for work the AI provider has already performed even if the result is not delivered to you, for example when you cancel a request while it is in progress, when a task reaches your plan's runtime limit, or when a generated file cannot be retrieved or stored.
- If a request fails before the provider performs billable work, the hold is released. Where the provider's cost cannot be determined, we do not currently charge AI Credits for that work.
- When you do not have enough AI Credits, new AI work is paused. Your existing Studio conversations and Documents remain available.
9.2. Usage limits. Plans include usage limits, such as the number of AI tasks that can run at the same time, the maximum runtime of a task, upload size and the number of files per message. We also apply rate limits to protect the Service. Requests above these limits may be queued, delayed or refused.
9.3. Availability. The Service depends on third-party infrastructure and AI providers. It may be unavailable or slower at times because of maintenance, provider outages, capacity limits or other events. We do not guarantee any particular uptime, and specific models or features may change or be withdrawn.
10. Refunds and Billing Disputes
10.1. Refunds. Payments for subscriptions and Credit Packs are non-refundable, including for partially used billing periods and unused AI Credits, except where applicable law requires a refund or where we decide to make an exception in a specific case. Nothing in these Terms limits any refund or withdrawal rights you have under mandatory consumer protection law.
10.2. Questions about a charge. If you have a question about a charge, please contact us at support@koatask.ai before starting a chargeback or payment dispute so we can try to resolve it.
10.3. Reversed payments. If a payment is refunded, reversed or charged back, we may adjust the related plan access and AI Credits, including removing unused credits from that payment, and we may restrict paid features while a payment dispute is open.
11. Third-Party Services
11.1. Providers we use. The Service relies on third-party services, including providers of hosting, databases and authentication, file storage, AI models, payments and sign-in (together, "Third-Party Services"). The AI models and providers we use may change over time.
11.2. What this means for you. You acknowledge that:
- to perform the work you request, your User Content is shared with the AI providers that generate Outputs;
- Third-Party Services operate under their own terms and policies, which may also apply to your use of them, and you must comply with their usage policies;
- Third-Party Services may process your data under their own privacy policies, as described in our Privacy Policy; and
- we choose providers with care, but we are not responsible for services we do not control, including content they generate or make available.
12. Intellectual Property and Feedback
12.1. Our Service. The Service, including its software, design, branding, Staff and Team definitions and other materials we provide, is owned by Koatask or its licensors. All rights not expressly granted to you are reserved.
12.2. Your licence. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Service for your business purposes.
12.3. Infringement claims. We respect the intellectual property rights of others. If you believe content on the Service infringes your rights, send a written notice to support@koatask.ai that includes:
- your name and contact details, and your signature (electronic is fine) as the rights owner or someone authorized to act for them;
- a description of the work or right you believe has been infringed;
- a description of the material and where it can be found in the Service; and
- a statement that you believe in good faith that the use is not authorized and that the information in your notice is accurate.
We may respond to suspected infringement by removing or blocking content, restricting access or terminating accounts, as appropriate.
12.4. Feedback. If you send us ideas, suggestions or other feedback about the Service ("Feedback"), we may use it freely for any purpose, without any obligation to you, and we are not required to keep it confidential or credit you.
13. Disclaimer of Warranties
13.1. To the fullest extent permitted by law, the Service and all Outputs are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, satisfactory quality and non-infringement.
13.2. In particular, we do not promise that the Service will meet your requirements, be uninterrupted, secure or error-free, that Outputs will be accurate, reliable or suitable for your use, or that defects will be corrected.
13.3. Nothing in these Terms affects rights you have as a consumer that cannot be excluded or limited by contract.
14. Limitation of Liability and Indemnity
14.1. Excluded losses. To the fullest extent permitted by law, Koatask will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, opportunity, data or goodwill, arising from or related to the Service, even if we were told such losses were possible.
14.2. Liability cap. To the fullest extent permitted by law, our total liability for all claims related to the Service or these Terms is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.
14.3. Events outside our control. We are not liable for delays or failures caused by events beyond our reasonable control, such as internet or power outages, failures of third-party providers, cyber-attacks, natural disasters, war, strikes or government actions.
14.4. Indemnity. To the extent permitted by law, you agree to indemnify Koatask against third-party claims, and related losses and reasonable legal costs, arising from your User Content, your use of Outputs, your breach of these Terms or third-party terms, or your violation of law or the rights of others.
14.5. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15. Termination
15.1. By you. You can stop using the Service at any time and cancel your subscription from the Billing page. Account deletion is not currently available as a self-service option in the app. To delete your account, cancel any active subscription and then contact us at support@koatask.ai. Once your account is deleted, it cannot be restored, and its content cannot be recovered.
15.2. By us. We may suspend or terminate your account as described in clause 2.3.
15.3. Effect of termination. When your account is terminated or deleted, your right to use the Service ends, including your ability to use any remaining AI Credits. Whether any payment is refundable is governed by section 10. Clauses that by their nature should continue to apply, including those on User Content, intellectual property, disclaimers, limitation of liability, indemnity and governing law, survive termination.
16. Other Terms
16.1. Changes to the Service. We continually develop the Service and may add, change or remove features, models, Staff, Teams and limits. Where a change materially reduces the paid features you are using, we will tell you in advance where reasonably possible, unless we must act quickly to prevent abuse, meet legal obligations or address security or operational issues.
16.2. Changes to these Terms. We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they last changed. For material changes, we will notify you by reasonable means, such as email or a notice in the Service, at least 14 days before the changes take effect. If you continue to use the Service after the changes take effect, the updated Terms apply. If you do not agree, you can cancel your subscription and stop using the Service.
16.3. Governing law and disputes. These Terms are governed by the laws of the Republic of Türkiye. Disputes will be resolved by the courts and enforcement offices of Istanbul, Türkiye, unless mandatory law gives you the right to bring a claim elsewhere.
16.4. Export and sanctions. You must comply with all export control and sanctions laws that apply to your use of the Service, and you must not use the Service or Outputs for, or make them available to, any person, country or purpose prohibited by those laws.
16.5. Notices. We may send you notices by email to the address on your account or through the Service. You can send notices to us at support@koatask.ai.
16.6. Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may transfer them to an affiliate or as part of a merger, acquisition or sale of assets.
16.7. Severability and no waiver. If any part of these Terms is found invalid or unenforceable, the rest remains in effect. Our failure or delay in enforcing a provision is not a waiver of it.
16.8. Entire agreement. These Terms, together with any terms shown at checkout and our Privacy Policy, are the entire agreement between you and us about the Service and replace any earlier agreements on the same subject.
